1. PARTIES AND SCOPE OF AGREEMENT
This Master Subscription Agreement ("Agreement") is made between Webicro Software Technologies Inc. ("Webicro Software", "Provider", or "Licensor"), headquartered at Refahiye, 282. Sk. C-1A Blok No: 4, Haliliye / Sanliurfa, Turkiye, and the educational institution (School, College, Academy, Test Preparation Center, or Tutoring Institution) or individual accessing the CepteKampüs software ecosystem ("Customer", "Subscriber", or "User").
CepteKampüs is an official proprietary software solution created, maintained, and operated by Webicro Software. By creating an account, signing an enterprise order form, or installing any client components (including turnstile PDKS gateways and desktop POS software), the Customer unconditionally accepts all terms of this Agreement.
2. DEFINITIONS
- Webicro Software (Webicro Yazılım): The parent software engineering enterprise holding all intellectual property, source code copyrights, patents, and operational infrastructure of CepteKampüs.
- CepteKampüs: The cloud-native campus operating ecosystem providing Student Information System (SIS), biometric/RFID gate attendance, offline canteen POS, examination analytics, and student coaching capabilities.
- Customer / Subscriber: The educational organization licensed to utilize the SaaS platform for its enrolled students, staff, and faculties.
- End User: School principals, teachers, finance officers, canteen staff, security officers, guardians/parents, and students given authenticated credentials.
3. INTELLECTUAL PROPERTY & PROPRIETARY RIGHTS
3.1. Absolute Ownership: All rights, titles, and interests in and to the CepteKampüs platform, including without limitation all software source code, database structures, UI/UX designs, algorithms, APIs, graphics, logos, and documentation, are and will remain the sole and exclusive property of Webicro Software. The Customer is granted solely a non-exclusive, non-transferable, non-sublicensable, revocable subscription license to use the service during the active contract term.
3.2. Prohibited Exploitation & Reverse Engineering: The Customer and any End User shall not: (a) reverse engineer, decompile, decrypt, or disassemble the platform; (b) copy, scrape, or extract source algorithms; (c) lease, resell, distribute, or provide timesharing services utilizing CepteKampüs without express written consent from Webicro Software. Breaches will be subject to immediate legal action and full compensatory damages under international copyright treaties.
4. SERVICE LEVEL AGREEMENT (SLA) & AVAILABILITY
4.1. Uptime Commitment: Webicro Software guarantees a 99.9% monthly service uptime for core cloud endpoints. Scheduled maintenance windows will be communicated at least 48 hours in advance and executed during off-peak hours.
4.2. Offline Continuity Architecture: Campus security turnstiles and canteen POS checkout stations are equipped with offline edge processing. In the event of wide-area internet failure, offline transactions continue uninterrupted and automatically synchronize with the central database once network connectivity is re-established.
5. DATA PROTECTION & GDPR / KVKK COMPLIANCE
5.1. Roles of the Parties: In relation to student, guardian, and personnel data entered into the system, the Customer acts as the Data Controller, while Webicro Software acts strictly as the Data Processor.
5.2. Security Measures: Webicro Software enforces enterprise-grade security protocols adhering to ISO/IEC 27001 standards, end-to-end TLS 1.3 encryption, cryptographic hashing, and automated daily geo-redundant database backups.
6. GOVERNING LAW & JURISDICTION
This Agreement shall be interpreted and governed in accordance with the laws of the Republic of Turkiye. Any unresolved disputes arising under or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the Courts and Enforcement Directorates of Sanliurfa, Turkiye.
